We are a blank check company incorporated on June 9, 2025 under the name “Meteora Venture Partners Acquisition Corporation V Ltd.” as a Cayman Islands exempted company, and re-named “Bitcoin Infrastructure Acquisition Corp Ltd.” by special resolution, on August 7, 2025, with no material operations of our own and formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination.
