Is Vertiv Stock Safer Or Riskier Than A Year Ago?

Investors probably bought Vertiv (VRT) for growth, given that the company sells power and cooling equipment for data centers. Vertiv reported its third quarter on October 28, 2026, a day after it completed a cash acquisition of UtilityInnovation Group. That timing provides a natural moment to review what the company owes. So has Vertiv’s balance sheet grown stronger over the past year, or weaker?

Safer In September: Vertiv Held More Cash Than Debt
The balance sheet is indeed safer and stronger. At the end of its third quarter, on September 30, 2026, Vertiv held net cash of $355 million, meaning its cash and short-term investments were larger than its debt. A year earlier, at the end of September 2025, the company carried net debt of $1.27 billion.
For 26 quarter ends in a row, from March 2020 to June 2026, Vertiv reported debt that was larger than its cash. Breaking that streak offers welcome news for shareholders. It may not last, however: the cash deal Vertiv completed on October 27 cost about four times its September net cash.
Why Vertiv’s Cash Nearly Doubled In A Year
The shift occurred on the cash side, because Vertiv operations generated far more cash than they had previously. Cash and short-term investments climbed to $3.71 billion at the end of September 2026, up from $1.94 billion a year earlier. Debt barely moved over the same year, ending at $3.36 billion against $3.21 billion.
Over the twelve months to September 2026, Vertiv’s operations brought in $3.67 billion of cash, compared with $1.53 billion in the twelve months before. Sales grew fast as well: third-quarter revenue reached $4.31 billion, up 61.2% from a year earlier. Third-quarter free cash flow was $652 million, up 50% from a year earlier. Management said the rise came from higher adjusted operating profit, partly offset by working capital and higher capital spending.
None of that cash went to buybacks. Vertiv bought back no shares over the last twelve months, and its dividends came to $96 million. Capital spending required another $525 million over the same twelve months. Because cash rose only $1.77 billion over the year, other uses took more than $1 billion.
What Vertiv’s Net Cash Means For Your Money
Vertiv is deploying its cash for growth and returns only a small portion to shareholders. Management said on the October 28 call that it will keep looking at buybacks and dividends, but it sees the most value in investing in Vertiv’s own capacity and in acquisitions. Management also said the net cash position at the end of the quarter gave the company a lot of strategic flexibility.
Cash on hand helps only when a company puts it to work, and Tesla offers a contrast. It holds over $45 billion in cash and investments and plans about $20 billion of capital spending this year, yet the Big Story argues it has never made a free-ride offer for families that would cost about $340 million. Within weeks of that quarter end, on October 27, 2026, Vertiv completed its acquisition of UtilityInnovation Group for about $1.45 billion in upfront cash. That price is larger than the net cash it held at the end of September. Vertiv could pay up to $1.15 billion more in cash if the acquired business meets earnings targets within two years. In return, Vertiv adds microgrid controls and behind-the-meter power architecture for power-constrained data centers. On the October 28 call, management said Vertiv had also closed its purchase of King Environmental Services, a European fluid management and load testing business.
A year ago, a Vertiv shareholder owned a company whose debt was larger than its cash. That structure had persisted at every quarter end since March 2020. At the end of September 2026, that was no longer true. The UtilityInnovation Group payment came after that date, and on its own, would put Vertiv’s debt back above its cash. The December balance sheet, due with the fourth-quarter report expected in February 2027, will show which side Vertiv ended on. Should debt be back above cash, Vertiv will again owe more than it has in cash, though the upfront price alone would leave net debt near $1.1 billion, below the $1.27 billion of a year earlier; if cash still leads, September’s change holds.
