What Marvell Agreed To Pay For Lumentum

The companies said Lumentum shareholders will receive a fixed 4.500 shares of Marvell common stock for each Lumentum share they own. They put the deal’s implied enterprise value, which counts debt as well as shares, at $115 billion. That figure works out to about $1,132 per Lumentum share, which matches 4.500 times Marvell’s $251.65 close on October 28, before talks were reported. At Marvell’s $171.41 close on Monday, the 4.500 shares were worth about $771, against Lumentum’s $684.40 close. Because the payment is in Marvell shares rather than cash, what a Lumentum holder receives rises and falls with Marvell’s stock.

Shares of both companies fell on Monday after Marvell announced the agreement, and news reports said shareholders of both companies panned the deal. Marvell fell 12.7%, which cut the value of the stock Lumentum holders are set to receive. Earlier news reports on October 29 said Marvell was in talks to buy Lumentum. The stock rose 0.6% that day before dropping 8.6% on Friday, October 30.

Marvell is buying a fast-growing maker of optical-networking technologies. Lumentum’s revenue reached $1.01 billion in fiscal Q4 2026, the quarter ended June 27, up 109.3% from a year earlier. In the quarter it reported on November 2, revenue rose 136.5% to $1.26 billion. On its August 11 call, management said it had begun shipping its faster 1.6T cloud transceivers and was still shipping behind customer demand for its laser chips.

Did Lumentum Fall With Other Tech Stocks?

Only partly. The SPDR technology sector ETF (XLK) fell 2.9% during the same session, and the Nasdaq Composite lost 1.1%. Four of the five companies on Lumentum’s Trefis peer list also fell, including Cisco Systems, which dropped 2.8%. F5 fell further, losing 4.1%. Those declines were small next to Lumentum’s, so most of its fall was its own.

Where Lumentum Stock Stands After The Fall

Lumentum had no fall this large in the prior 365 days, with its only move of this size in that time being a 23.6% rise on November 5, 2025. Over the twelve months to November 2, the stock still returned 242.0%, against 11.8% for the S&P 500.

Trading over the past month has run the other way. The shares closed at their highest level of the year, $1,133.40, on October 6, 2026. Over the month to November 2, the stock lost 36.9%, while the S&P 500 lost 2.3%.
