Shares of ADT (ADT) climbed 30.2% in the three months from July 31 to October 29, 2026, compared to a 3.3% gain for the S&P 500. The period ended in a takeover, as ADT announced that day that Thrive Holdings agreed to buy the home-security company for $10 a share in cash. Sales growth offered little warning of a deal, as revenue rose 2.0% in the June quarter. So what had ADT already told its owners before those three months began?

ADT Reported Cash Growing Far Faster Than Sales
ADT’s reports on its first two quarters of 2026 both showed cash rising much faster than revenue. On April 30, the company announced a 37% first-quarter increase in operating cash flow, the money the business brings in after paying its running costs. Revenue in that quarter, which ended in March, grew less than 1%.
The July 30 report showed a similar pattern. Operating cash flow climbed 18% in the quarter ended in June, once again running far ahead of sales. Management called cash generation a highlight again during the earnings call that day. ADT also returned $684 million to shareholders through share repurchases and dividends over the first half of 2026, and it raised its full-year outlook.
Cash that outruns sales leaves a company to decide how to use it. Tesla makes a contrast: it holds $45.4 billion in cash, yet has never made a free-ride offer for families that the Big Story estimates would cost about $340 million. The share price did not follow the cash higher. ADT stock declined 2.9% in the six months to July 31. A reader watching cash rise as shares slipped had a reason to look closer. However, both reports described a business producing cash, not a sale, and they look like signs of a takeover only in hindsight.
All Of ADT’s Three-Month Gain Came On October 29
ADT stock rose 33% on October 29, the day the deal was announced. Before then, the shares had dropped about 20% from the start of the three-month period, reaching a low close of $6.08 on September 30. Even after a 7.9% rise on October 28, the day before, the stock remained below its starting price. An owner who bought based on the summer cash figures waited through that decline before the offer arrived.
Behind the share price, ADT generated more cash in the year to June 2026. Free cash flow, the money remaining after paying for investment in the business, reached $1.61 billion in the four quarters to June 2026, up from $1.38 billion a year earlier. That figure equaled 31.2% of revenue, compared with 16.9% at Allegion, a peer.
Is ADT’s Cash Still Growing?
Cash generation continued to grow in the latest quarter. ADT reported free cash flow of $541 million for the three months ended in June, against $423 million a year earlier. Management expects adjusted free cash flow, the company’s own measure, to grow about 30% in 2026. It also anticipates higher cash taxes and cash interest in 2027, with each probably a $50 million to $100 million headwind.
For anyone buying the stock today, the price already sits near the takeover offer. Shares closed at $9.87 on October 29, just below the $10 a share offered. If the deal closes, a buyer at $9.87 gains only about 1%, whatever ADT’s free cash flow for the quarter ended in September shows when the company reports on November 3, 2026. A year earlier, that figure was $339 million.
